AI Governance in Practice: What Executives Must Get Right

A practical guide to building governance frameworks that protect the organization without impeding AI adoption.

AI governance has become a significant topic in enterprise technology discussions, driven by a combination of regulatory pressure, high-profile AI failures, and growing organizational awareness of the risks that poorly managed AI systems create. But much of the governance discussion remains abstract — focused on principles and frameworks rather than the practical decisions that executives actually need to make.

This article focuses on the practical dimensions of AI governance: what it actually requires, where organizations typically fall short, and how to build governance capability that is proportionate to the risks involved without becoming an obstacle to AI adoption.

What Governance Actually Means

AI governance is the set of policies, processes, and controls that ensure AI systems are developed, deployed, and operated in ways that are consistent with the organization's values, risk tolerance, and legal obligations.

This definition has several important implications.

Governance is not a technology problem. It is an organizational problem that has technology components. The most sophisticated model monitoring infrastructure is worthless if the organization does not have clear accountability for acting on what the monitoring reveals.

Governance is proportionate to risk. The governance requirements for a customer-facing credit decision model are fundamentally different from those for an internal document summarization tool. Applying the same governance framework to both is wasteful and counterproductive.

Governance enables adoption. Done well, governance creates the organizational confidence required to deploy AI at scale. Done poorly, it creates bureaucratic friction that drives AI initiatives underground or offshore, where they operate with less oversight, not more.

The Four Pillars of Practical AI Governance

Effective AI governance rests on four pillars: accountability, transparency, monitoring, and control.

Accountability

Every AI system in production should have a clearly designated owner who is accountable for its performance, its compliance with applicable policies and regulations, and the decisions made based on its outputs.

This sounds obvious, but in practice, accountability for AI systems is often diffuse. The data science team built the model. The IT team deployed it. The business unit uses it. When something goes wrong, the question of who is responsible is often unclear.

Establishing clear accountability requires explicit ownership assignments, documented in a model inventory or AI registry. The owner should be a business leader, not a technical leader — someone who is accountable for the business outcomes that the AI system is intended to support.

Transparency

Transparency in AI governance means two things: transparency about what AI systems exist and are in use, and transparency about how they make decisions.

The first form of transparency requires an AI inventory — a registry of all AI systems in production, including their purpose, their data inputs, their decision outputs, and their business owners. Many organizations are surprised to discover how many AI systems they have in production when they conduct this inventory for the first time.

The second form of transparency — explainability — is more technically complex and more contextually dependent. The level of explainability required depends on the stakes of the decisions the system is making. High-stakes decisions that affect individuals (credit, employment, healthcare) require more explainability than operational optimization decisions.

Monitoring

AI systems degrade over time. The data distributions they were trained on change. The business conditions they were designed to address evolve. Without ongoing monitoring, systems that were performing well at deployment gradually become less accurate, less relevant, and potentially harmful.

Effective monitoring requires three things: metrics that capture the dimensions of performance that matter, thresholds that define acceptable performance ranges, and processes that ensure monitoring results are reviewed and acted upon.

The last of these is the most commonly neglected. Many organizations have monitoring infrastructure that generates alerts that no one reviews, or that are reviewed but not acted upon because the accountability for acting is unclear.

Control

Control mechanisms are the policies and processes that govern how AI systems are developed, deployed, and modified. They include model validation requirements, deployment approval processes, and change management procedures.

The most important control mechanism is the model validation requirement: the standard of evidence required before an AI system can be deployed in a production environment. This standard should be proportionate to the stakes of the decisions the system will make, and it should be enforced consistently.

The Regulatory Landscape

The regulatory environment for AI is evolving rapidly, with significant variation across jurisdictions and sectors. Executives need to understand the regulatory requirements that apply to their specific context, not just the general principles.

In the United States, the most significant AI-specific regulatory requirements currently apply to financial services (through model risk management guidance from banking regulators), healthcare (through FDA guidance on AI-based medical devices), and employment (through EEOC guidance on AI in hiring).

The EU AI Act, which is now in effect, creates a risk-based regulatory framework that applies to AI systems used in or affecting EU residents. High-risk AI applications — including those used in credit, employment, healthcare, and critical infrastructure — face significant compliance requirements.

Organizations operating across multiple jurisdictions face the additional complexity of managing compliance with multiple regulatory frameworks simultaneously. The most practical approach is to build governance frameworks that meet the most stringent applicable requirements, rather than maintaining separate frameworks for each jurisdiction.

Building Governance Capability

Building effective AI governance capability is an organizational investment, not a one-time project. It requires sustained attention from executive leadership, dedicated resources, and a willingness to enforce governance requirements even when they create friction.

The starting point is an AI inventory. Before you can govern your AI systems, you need to know what they are. Conducting a comprehensive inventory of AI systems in production — including systems that business units have deployed independently — is typically the first step in any serious governance program.

The second step is risk classification. Not all AI systems require the same level of governance attention. Classifying your AI systems by risk level — based on the stakes of the decisions they make, the populations they affect, and the regulatory requirements that apply — allows you to concentrate governance resources where they matter most.

The third step is accountability assignment. For each AI system in your inventory, designate a business owner who is accountable for its performance and compliance. Make this accountability explicit and consequential.

The fourth step is monitoring implementation. For high-risk AI systems, implement monitoring that tracks the dimensions of performance that matter — not just technical accuracy metrics, but business outcome metrics and fairness metrics where applicable.

The fifth step is process design. Define the processes that govern how AI systems are developed, validated, deployed, and modified. These processes should be proportionate to risk, documented, and enforced.

The Governance Trap

The most common governance failure is not insufficient governance — it is governance that is so burdensome that it drives AI activity outside formal channels.

When governance processes are too slow, too complex, or too disconnected from business reality, business units find ways to deploy AI without going through them. The result is a portfolio of shadow AI systems that operate with less oversight than the formal governance framework was designed to provide.

Avoiding this trap requires governance processes that are proportionate to risk, fast enough to keep pace with business needs, and designed with the user experience of the people who have to navigate them in mind.

The goal of AI governance is not to prevent AI deployment — it is to ensure that AI deployment is responsible. Governance frameworks that impede responsible deployment are not achieving their purpose.

AI governance is not a compliance exercise. It is a risk management discipline that, done well, enables organizations to deploy AI with confidence and at scale.

The organizations that get governance right are not those that build the most elaborate frameworks — they are those that build frameworks that are proportionate to their risks, enforced consistently, and designed to enable rather than impede responsible AI adoption.

For executives, the most important governance decisions are organizational, not technical: who is accountable, what standards apply, and how compliance is enforced. Getting these decisions right is the foundation on which effective AI governance is built.
